Please read these Terms and Conditions carefully before engaging the services of Professional Systems Designs ("Company," "we," "us," or "our"). By accessing our website or entering into a service agreement with us, you agree to be bound by these terms.
Professional Systems Designs provides custom database application development, system integration, data migration, and related consulting services. The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate written Statement of Work or Service Agreement signed by both parties. These Terms and Conditions apply to all such engagements unless otherwise specified in writing.
By using our website or engaging our services, you confirm that you are at least 18 years of age, have the legal authority to enter into a binding agreement on behalf of yourself or your organization, and agree to comply with these Terms and Conditions in full.
Payment terms, rates, and schedules will be outlined in your individual Service Agreement. Unless otherwise agreed in writing, invoices are due within 30 days of issuance. Late payments may be subject to interest charges as specified in your agreement. We reserve the right to suspend work on any project where payment is overdue.
Upon receipt of full payment for a project, you will own the custom work product developed specifically for your engagement. We retain ownership of any pre-existing tools, frameworks, methodologies, or general-purpose code components used in the development of your solution. We may reference your project in our portfolio unless you request otherwise in writing.
We understand that your business data and processes are sensitive. We treat all client information as strictly confidential and will not disclose it to third parties without your written consent, except as required by law. We are happy to execute a mutual Non-Disclosure Agreement (NDA) upon request prior to beginning any engagement.
To the fullest extent permitted by applicable law, Professional Systems Designs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or any deliverables. Our total liability for any claim arising from a specific engagement shall not exceed the total fees paid by you for that engagement.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We do not warrant that any deliverable will be error-free or uninterrupted. Any warranty claims must be submitted in writing within 90 days of project delivery. Our website and any general information provided therein are offered "as is" without warranty of any kind.
Either party may terminate a service engagement with written notice as specified in the applicable Service Agreement. In the event of termination, you agree to pay for all work completed up to the termination date. We reserve the right to terminate any engagement immediately if you breach these Terms or your Service Agreement.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States and the state in which Professional Systems Designs is registered, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction in that state.
We reserve the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date. Your continued use of our website or services after any changes constitutes your acceptance of the revised terms.

Terms for SMS and MMS Text messaging
Messages can be sent to you as a proof of concept or for meeting/appointment confirmations.
You can cancel the SMS service at any time. Just reply "STOP" to the received message. After you send the SMS message "STOP" to us, we will send you a message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us.

Carriers are not liable for delayed or undelivered messages.
As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.
